Springmeyer Law represents founders and investors in angel investment transactions. For founders, we provide representation and counseling at all stages, including:

In order to mitigate legal expenses, we have created several standardized transactions for both individual investors and syndicated transactions. By pre-structuring the terms of these agreements, the transaction is completed efficiently, minimizing legal expenses. Additionally, the costs associated with term sheet negotiations may be reduced or eliminated. This service provides the types of legal protections that Founders and Investors seek in their investment deals, without the typical costs.

We have created a term sheet generator application designed for angel investors, super angels, and micro-cap VC's to negotiate the terms of Preferred Stock seed round transactions with founders. This generator includes a range of terms appropriate for a pre-Series A transaction.

Venture Capital

Springmeyer Law represents founders and companies in Series A venture capital financings. We advise companies on the plan submission process, including financial modeling and plan composition, compliance with federal and state securities laws, submitting plans and pitching to venture capitalists, negotiating term sheets, drafting transaction documents, and executing the securities filings and all post-closing obligations.
