Articles of Organization are the document which is filed with the California Secretary of State to create a limited liability company (LLC) in California. This document is very simple, and contains basic information about the business. The Secretary of State has provided a simple form, LLC-1 to complete the articles.

A related document is the Operating Agreement, which is the agreement between the members of an LLC. A well drafted Operating Agreement will govern the capitalization of the LLC, the mechanisms for distribution of profit, rights and responsibilities of the LLC members, and the procedures for dispute resolution.
